By working with us or deploying our tools, you agree to these benchmarks. If you do not accept these practices, you may not utilize our platform.
Acceptance of Terms
By registering for an account, signing a service agreement, or accessing the services provided by UTA Systems LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and our incorporated Privacy Policy.
If you are accepting these terms on behalf of a company, practice, or legal entity, you represent and warrant that you possess the full legal authority to bind that entity to these conditions.
Description of Services
UTA Systems provides advanced B2B infrastructure, CRM management, custom tech stacks, and AI automation systems. These include, but are not limited to:
- AI Receptionists & Voice Agents — conversational voice networks configured to answer calls, capture lead profiles, and log transcripts.
- Missed Call Text-Back & SMS Automations — programmatic triggers designed to text back missed incoming phone traffic automatically.
- Appointment Booking Pipelines — integration bridges matching CRM funnels directly to calendar configurations (e.g., Google Calendar).
- Systems Unification — custom workflows mapped out across third-party middleware APIs (e.g., Zapier, Make, and webhooks).
We actively optimize, upgrade, and modify our configurations to support system deliverability. We reserve the right to suspend or update structural workflows to perform necessary updates.
Accounts & Responsibilities
To use our operational pipelines, clients must establish secure system credentials and maintain authentic structural inputs.
Client System Obligations
- Data Integrity — You must provide completely accurate account metrics and promptly remove or update duplicate profiles to keep system databases clean.
- Credential Security — You are fully responsible for maintaining the confidentiality of API endpoints, platform passwords, and account tokens.
- Unauthorized Usage — You must notify us immediately at [email protected] if you suspect or detect any unauthorized penetration of your system environment.
Database Governance: UTA Systems reserves the structural right to remove duplicate entries, clear inactive lead testing logs, or clean redundant records to preserve system stability and optimal API processing speeds.
Fees, Billing & Upgrades
Accessing specialized automation tiers, CRM access environments, and custom engineering blocks requires timely financial settlement.
- Payment Routing — All transactions are safely managed and cleared through our primary third-party processing gateway (Stripe). We do not record raw account card details directly.
- Tiers & Caps — Specific service tiers contain preset capacity limitations. Upgraded system scopes or database capacities (e.g., removing a 100-customer cap) will instantly apply your updated subscription rate.
- Non-Refundable Framework — Due to the processing resources required to establish cloud nodes and run specialized AI models, payments are non-refundable unless stated inside a separate signed contract.
Intellectual Property
We balance our proprietary core technology infrastructure alongside the unique operational properties belonging to our client companies.
Proprietary Elements
All core code logic, proprietary UI assets, database schemas, processing scripts, and custom training frameworks engineered by UTA Systems remain the exclusive intellectual property of UTA Systems LLC.
Client Content Ownership
Data imported into your CRM workspace, unique business media assets, profile parameters, and generated voice transcripts remain yours. You grant us a standard, narrow workflow permit to host, route, process, and analyze your operational data purely to keep your automation systems running flawlessly.
Messaging & A2P 10DLC Compliance
When deploying text automations, clients must remain fully aligned with modern international telecommunication protocols and compliance guidelines.
- Consent Requirements — You explicitly promise that every contact record pushed into an automated SMS workflow has provided documented opt-in consent to receive marketing or transactional texts.
- Carrier Guidelines — Clients must submit clear business details for standard A2P 10DLC tracking. You agree not to engage in or route content categorized as high-risk, spam, or restricted under carrier guidelines.
- Age-Gated Assertions — Unless you explicitly prompt our team to design a secure front-end birthdate validation blocker, you certify your business does not market age-gated goods (e.g., gambling, adult services, controlled goods).
Termination & Cancellation
You may stop using our infrastructure at any time. Likewise, we reserve rights to enforce system boundaries if policies are breached.
Client Cancellation: You can terminate your account structures through your user dashboard or by requesting a cancellation via email. System access will remain available until your current paid billing period concludes.
System Violations: We reserve the right to instantly lock or terminate your system access without warning if we find you are running malicious code scripts, spamming text channels, or violating carrier regulations.
Limitation of Liability
Operational Notice: UTA Systems builds and configures custom automated architectures. We cannot guarantee 100% uptime for third-party tools like webhooks, phone carriers, or external API platforms (e.g., Zapier, Google, or OpenAI models).
To the maximum extent permitted by applicable law, UTA Systems LLC will not be held liable for any indirect, incidental, special, or consequential damages. This includes, without limitation, lost company revenue, server downtime, data losses, or configuration gaps arising from your automation setups.
Governing Law
These Terms, along with any external system performance contracts, are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any legal disputes, structural claims, or corporate arbitration arising directly under these platform frameworks must be handled inside the designated courts of Delaware.
